Zindies Terms of Service
This English version is provided for your convenience only. The legally binding original is the Japanese version. In the event of any discrepancy between this translation and the Japanese original, the Japanese original shall prevail.
1. Introduction
These Terms of Service (the "Terms") set forth the conditions for using Zindies (the "Service"), provided by the Zindies Project (the "Company"). Customers using the Service ("Users") shall use the Service only after agreeing to these Terms.
2. Description of the Service
The Service is a web service that allows Users to register, manage, and search information about "works", "creators", and "places" (including any locations where works are placed).
3. Accounts
3.1 Users must create an account in order to use the Service.
3.2 Users are responsible for managing their account information, and shall not transfer or lend it to any third party.
3.3 The Company shall not be liable for any damage arising from unauthorized use of an account.
4. Prohibited Conduct
Users shall not engage in any of the following acts:
4.1 Acts that violate laws or public order and morals
4.2 Acts that infringe the intellectual property rights of the Company or any third party
4.3 Acts that interfere with the operation of the Service
4.4 Acts of collecting personal information of other Users
4.5 Other acts that the Company deems inappropriate
5. Intellectual Property Rights
5.1 Intellectual property rights related to the Service belong to the Company or to third parties holding lawful rights.
5.2 Copyrights of content posted by Users to the Service (including but not limited to ZINE works, cover images, bibliographic data, reviews, and comments; hereinafter the same) belong to the User who posted the content or to the third party from whom the User holds rights.
5.3 The Company shall respect Users' intellectual property rights and handle them with the care of a prudent administrator.
6. License of Content
6.1 Users grant the Company a non-exclusive, royalty-free license to content posted to the Service for the following uses:
- (1) Display, reproduction, public transmission, and adaptation on the Service
- (2) Reduced display of cover images and creation/display of thumbnail images
- (3) Display, registration in search indexes, and display in search results of bibliographic data (titles, author names, publication dates, prices, descriptions, genres, tags, etc.)
- (4) Use in promotion, advertising, and marketing materials for the Service (including SNS, websites, printed materials, etc.)
- (5) Other use within the scope necessary for the operation, improvement, and provision of features of the Service
6.2 The license in the preceding paragraph is for the purpose of smooth operation of the Service and improving user convenience, and does not grant the Company an exclusive right to use User content.
6.3 Users warrant that they hold the rights necessary to grant the license in Section 6.1.
6.4 The license under this article shall continue for any period that the Company reasonably deems necessary (such as for backups and cache retention) even if the User deletes the content or withdraws from the Service.
7. License Concerning Sale and Lending of ZINE Works
7.1 When listing a ZINE work on the Service, the creator of the ZINE work (the "Seller") agrees to and grants the Company authority over the following matters:
- (1) Shipment and temporary storage for the purpose of delivering works to purchasers or borrowers
- (2) Exercise of transfer rights and lending rights of works through the Company and shops (the "Sales Partners")
- (3) Delegation of authority concerning management of works during sales procedures or lending periods
- (4) Inspection of work condition, cleaning, and minor repairs
7.2 The consent and authorization in the preceding paragraph are limited to sale and lending within the Service and do not transfer the Seller's copyrights or other intellectual property rights.
7.3 The Seller warrants the following with respect to works listed through the Service:
- (1) The Seller holds the copyright or has obtained permission from the legitimate rights holder
- (2) The work does not infringe any third party's intellectual property rights, privacy rights, or other rights
- (3) The work does not contain content contrary to public order and morals
- (4) The work does not violate any laws or regulations
8. Distribution and Settlement of Sales
8.1 The detailed matters concerning calculation and payment of sales shall be governed by the separately defined "Sales Settlement Rules".
8.2 Provisions concerning the paid use of bibliographic data of ZINE works shall be governed by the separately defined "Sales Settlement Rules".
9. Handling of Personal Information
9.1 The Company shall appropriately manage the personal information that Users register with the Service and shall not disclose it to third parties except as required by law.
9.2 When Users register information on the Service, they are responsible for complying with the Act on the Protection of Personal Information.
10. Modification, Suspension, and Termination of the Service
10.1 The Company may change the content of the Service, or suspend or terminate its provision, without prior notice.
10.2 The Company shall not be liable for any damage incurred by Users due to modification, suspension, or termination of the Service.
11. Disclaimer
11.1 The Company does not warrant the completeness, accuracy, or usefulness of the Service.
11.2 Users shall use the Service at their own risk, and the Company shall not be liable for any damage arising from use of the Service.
12. Governing Law and Jurisdiction
12.1 The interpretation and application of these Terms shall be governed by Japanese law, and any disputes related to the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
13. Changes to the Terms
13.1 The Company may amend these Terms as necessary. Amended Terms shall take effect upon being posted on the Company's website.
